NON-DISCLOSURE AND NON-COMPETE AGREEMENT

This agreement is designed to protect the creative dreams and intellectual property of our members, allowing them to explore, create, and share within a safe space without the fear of exploitation or competition. By becoming a member of Bespoke House, individuals agree to respect and uphold the policies set forth in the agreement, ensuring a community where creativity can flourish freely and securely.


NON-DISCLOSURE AND NON-COMPETE AGREEMENT

This Non-Disclosure and Non-Compete Agreement ("Agreement") is entered into as of ________________ (the “Effective Date”), by and between Bespoke House LLC, a limited liability company organized and existing under the laws of the State of Florida, with its principal office located at 4624 Park Street, Jacksonville, FL 32205 ("Disclosing Party"), and ____________________________________________________________________________ ("Receiving Party"). Bespoke House LLC and the Receiving Party may be referred to individually as a “Party” and collectively as the “Parties.”

WHEREAS, the Parties have entered into a Memorandum of Understanding (MOU) dated ________________, concerning the collaboration with the Bespoke House Artisan Community; and

WHEREAS, in connection with this collaboration, the Disclosing Party intends to disclose confidential information to the Receiving Party for the purpose of facilitating the MOU’s objectives; and

WHEREAS, the Parties wish to prevent the unauthorized disclosure of Confidential Information and the competition that could harm the business interests of the Disclosing Party.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

  1. CONFIDENTIAL INFORMATION

1.1 "Confidential Information" includes all data and information, whether oral, written, or electronic, relating to the business and management of the Disclosing Party, specifically including but not limited to proprietary and trade secret technology and accounting records to which access is obtained by the Receiving Party, including Work Product, Operational Information, and Personal Information.

  1. NON-DISCLOSURE

2.1 The Receiving Party agrees to maintain the Confidential Information in strictest confidence and not to disclose it to any third party without the prior written consent of the Disclosing Party.

  1. NON-COMPETE

3.1 The Receiving Party agrees not to engage in any business activities that compete directly with the Disclosing Party’s business during the term of the MOU and for a period of one (1) year following its termination or expiration.

  1. TERM

4.1 The obligations of this Agreement shall commence on the Effective Date and shall continue in full force and effect for two (2) years following the termination of the MOU, unless otherwise terminated by mutual agreement of the Parties.

  1. GENERAL PROVISIONS

5.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

5.2 Severability. If any provision of this Agreement is found to be unenforceable, such provision shall be modified to reflect the parties' intention and only to the extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

5.3 Entire Agreement. This Agreement constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.

IN WITNESS WHEREOF, the Parties hereto have executed this Non-Disclosure and Non-Compete Agreement as of the Effective Date first above written.
